By using our website or entering into an engagement with YMT, you represent that you are at least 18 years old and have the authority to accept these Terms on behalf of yourself or the organization you represent.

The scope, deliverables, fees, and timelines for any professional engagement are defined in a separate written agreement, proposal, or statement of work. In the event of a conflict between these Terms and a signed agreement, the signed agreement controls for that engagement.

You agree not to:

• Use the Services for any unlawful or fraudulent purpose.
• Attempt to gain unauthorized access to our systems or interfere with their operation.
• Reverse engineer, copy, or resell any part of the Services except as expressly permitted.
• Upload or transmit malicious code or infringing, harmful, or unlawful content.

The website and its original content, features, and branding are owned by YMT and protected by intellectual property laws. Ownership of deliverables created during an engagement is governed by the applicable written agreement. Unless otherwise stated, you may not use our trademarks without prior written consent.

Fees, payment schedules, and invoicing terms are set out in the applicable agreement. Unless stated otherwise, invoices are due within the period specified, and late amounts may accrue interest as permitted by law.

Each party agrees to protect the other's confidential information and to use it only as needed to perform under the applicable agreement. These obligations survive termination of the engagement.

The Services may rely on or link to third-party tools and platforms. We are not responsible for the content, policies, or practices of third parties, and your use of them is subject to their terms.

Except as expressly stated in a signed agreement, the Services are provided “as is” and “as available” without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

To the maximum extent permitted by law, YMT will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits or revenues. Our total liability for any claim relating to the Services will not exceed the amounts paid to us for the engagement giving rise to the claim.

You agree to indemnify and hold YMT harmless from claims, damages, and expenses arising out of your misuse of the Services or breach of these Terms.

We may suspend or terminate access to the website at any time for conduct that violates these Terms. Termination of a professional engagement is governed by the applicable agreement.

These Terms are governed by the laws of the United States and the state in which YMT is established, without regard to conflict of law principles. Disputes will be resolved in the courts located in that jurisdiction.

We may revise these Terms from time to time. The updated version will be posted on this page with a new “Last updated” date. Continued use of the Services after changes take effect constitutes acceptance.
